Terms of Use and End-User License Agreement
MeWorks Website, Project Manager Portal, and Private Integrations

1. Agreement and Scope
These Terms of Use and End-User License Agreement (“Terms”) govern access to and use of the MeWorks website, the MeWorks Project Manager portal (the “Portal”), and private business integrations operated by MeWorks Inc. (“MeWorks,” “we,” “us,” or “our”), including the QuickBooks Online integration (collectively, the “Services”). By accessing or using a Service, the user agrees to these Terms personally and, when applicable, on behalf of the organization the user is authorized to represent. The Services are intended for legitimate business use and are not offered as consumer products.
2. Eligibility, Accounts, and Approval
Users must provide accurate information, use an account they are authorized to control, and be legally capable of agreeing to these Terms. Google Sign-In verifies identity but does not grant Portal access. First-time and unapproved users remain pending until an authorized MeWorks administrator approves them. MeWorks may approve, reject, restrict, suspend, or revoke access in its discretion, including when authorization, business need, or a user’s relationship with a workspace ends.
Users are responsible for protecting account credentials, maintaining appropriate security on their Google or other identity-provider accounts, and promptly reporting suspected unauthorized access. Users may not share an account or use another person’s identity.
3. Limited License
Subject to these Terms and applicable workspace permissions, MeWorks grants approved users a limited, revocable, non-exclusive, non-transferable license to use the Services solely for authorized business, project-management, collaboration, accounting, billing, and administrative purposes. No ownership rights are transferred.
4. Authorized Use and Workspace Responsibilities
Users must access only workspaces, projects, companies, and information they are authorized to access; comply with assigned roles, permissions, approval requirements, applicable laws, contractual obligations, and MeWorks policies; review information and proposed actions for accuracy before relying on or approving them; preserve confidentiality; and notify MeWorks when access is no longer required or authorized.
Workspace owners and administrators are responsible for approving appropriate users, assigning suitable roles, periodically reviewing access, and promptly revoking access that is no longer needed.
5. Project Information and User Content
Authorized users may submit project, task, comment, status, assignment, attachment-reference, and other business information (“User Content”). Users retain any rights they hold in User Content and grant MeWorks a limited right to host, process, reproduce, and display it as necessary to provide, secure, support, and improve the Services. Users represent that they have the authority to submit User Content and make it available to the relevant workspace members.
6. Approval of Accounting Actions
Private integrations may support reading accounting information and preparing proposed actions. Creation, modification, transmission, voiding, or deletion of QuickBooks records must occur only after approval by an authorized MeWorks representative. Users remain responsible for reviewing the accuracy, classification, tax treatment, recipients, and business purpose of each approved action.
7. Prohibited Conduct
Users may not access, use, or disclose information without authorization; use the Services for unlawful, fraudulent, abusive, or misleading activity; circumvent access controls, security measures, approval requirements, or provider authorization flows; introduce malicious code or interfere with the Services or related systems; attempt unauthorized security testing; sell, sublicense, publicly distribute, reverse engineer, or repurpose the Services except as expressly authorized in writing; scrape or automate access in a manner that impairs the Services; or use outputs as a substitute for professional accounting, tax, legal, financial, or other professional advice.
8. Third-Party Services
The Services may depend on Google, QuickBooks Online, Intuit, hosting providers, and other third-party services. Use of those services is also governed by their applicable terms and policies. MeWorks does not control third-party availability, changes, security, or account decisions and is not responsible for third-party outages or modifications.
9. Privacy
MeWorks handles information as described in the MeWorks Privacy Policy. By using a connected service, the user represents that they have authority to permit the processing of information made available through that connection.
10. Intellectual Property
The Services, including software, designs, interfaces, text, graphics, logos, and related materials provided by MeWorks, are owned by MeWorks or its licensors and are protected by applicable intellectual-property laws. Except for the limited license in these Terms, no rights are granted.
11. Availability, Changes, and Termination
MeWorks may modify, suspend, restrict, or discontinue any Service at any time, including to address security, compliance, maintenance, business, or third-party-service changes. Access may be revoked for misuse, loss of authorization, inactivity, or violation of these Terms. Upon termination, the license ends and the user must stop using the Services. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and record-retention obligations.
12. Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MEWORKS DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MEWORKS DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR EVERY BUSINESS, ACCOUNTING, TAX, LEGAL, OR COMPLIANCE REQUIREMENT.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEWORKS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL ARISING FROM THE SERVICES. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED.
14. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute will be brought in a court of competent jurisdiction in California, unless applicable law requires otherwise.
15. Changes to These Terms
MeWorks may update these Terms as the Services or applicable requirements change. The effective date above will be revised when material updates are published. Continued use after updated Terms become effective constitutes acceptance where permitted by law.
